The firm regularly
advises parties in connection with the structuring of their business
entities including establishing corporations, limited liability
companies, limited partnerships and other business arrangements,
maintaining corporate minutes, advising on corporate governance,
issuance of stock, and preparing shareholder and limited partnership
agreements.
In addition,
the firm regularly is involved in the sale of closely held businesses
and consults regularly with such entities' accountants in terms
of developing a strategy that addresses tax planning needs of
the particular client.
The firm also
serves as outside general counsel to a number of its corporate
clients in connection with such clients' need for ongoing counsel
covering a wide variety of commercial related matters, including
the drafting of various agreements such as employment agreements,
confidentiality agreements, and non-disclosure/non-competition
agreements. The firm also is heavily involved in negotiating contracts,
providing advice concerning possible litigation, the defense and
prosecution of lawsuits, conducting board meetings, and assisting
in finding independent directors.
During the
past few years, the firm has been involved with the sale or purchase
of various kinds of businesses in many different fields including
manufacturing, restaurants, internet related services, mortgage
brokers, insurance agencies and home builders.
